Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by SIA ROOTAPI, registration number 40203090070, VAT number LV40203090070, located at Briezu iela 7 - 55, LV-1034, Riga, Latvia, operating as NetPoint ("we", "us", or "our") through the website netpoint.io and the management panel at panel.netpoint.io.

By creating an account or using any of our services, you ("Customer", "you", or "your") agree to be bound by these Terms. If you do not agree, you must not use our services.

1. Service Description

1.1. NetPoint provides the following services ("Services"):

  • Domain Registration. Registration, renewal, and management of domain names across 200+ top-level domains (TLDs), provided through our sponsoring registrar, Internet.bs Corp. (IANA #2487). Domain registration is subject to a separate Domain Registration Agreement.
  • DNS Management. Authoritative DNS hosting with support for A, AAAA, CNAME, MX, TXT, SRV, and other record types.
  • Web Hosting. Shared and managed hosting services including SSD storage, Docker-based deployments, automatic SSL certificates, and email hosting.
  • VPS and Dedicated Servers. Virtual private servers and dedicated server infrastructure located in EU datacenters, with full root access and instant provisioning.

1.2. Additional services may be offered from time to time and will be subject to these Terms unless separate terms are provided.

2. Account Registration and Responsibilities

2.1. Eligibility. You must be at least 18 years old and have the legal capacity to enter into a binding agreement to create an account and use our Services. If you are registering on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2.2. Account Information. You agree to provide accurate, complete, and current information during account registration and to keep this information up to date. You are responsible for maintaining the confidentiality of your account credentials.

2.3. Account Security. You are solely responsible for all activity that occurs under your account. You must notify us immediately at [email protected] if you become aware of any unauthorized access to or use of your account.

2.4. One Person, One Account. Each individual or organization should maintain only one account. We reserve the right to merge or terminate duplicate accounts.

3. Payment Terms

3.1. Currency. All prices are quoted and billed in Euros (EUR).

3.2. Payment Methods. Payments are processed through Stripe. We accept major credit and debit cards and other payment methods as made available through Stripe.

3.3. VAT. All prices are exclusive of applicable Value Added Tax (VAT) unless otherwise stated. VAT will be applied in accordance with the applicable laws of the Republic of Latvia and European Union VAT regulations. Business customers within the EU (outside Latvia) with a valid VAT number may be eligible for the reverse charge mechanism.

3.4. Billing Cycle. Services are billed in advance for the applicable billing period (monthly, annually, or as otherwise specified). Domain registrations are billed for the full registration term at the time of registration or renewal.

3.5. Late Payment. If payment is not received by the due date, we may suspend your Services after providing reasonable notice. Suspended services may be terminated if payment is not received within thirty (30) days of the original due date.

3.6. Refunds. Hosting and VPS services may be eligible for a refund within fourteen (14) days of the initial purchase, in accordance with EU consumer protection law, provided you have not materially used the service. Domain registration fees are non-refundable once the registration has been processed by the registry. Refund requests should be submitted to [email protected].

3.7. Price Changes. We reserve the right to change our prices at any time. Price changes will be communicated at least thirty (30) days in advance and will apply at the next renewal or billing cycle.

4. Acceptable Use

4.1. Your use of the Services is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference.

4.2. You agree not to use the Services for any unlawful purpose or in any manner that could damage, disable, overburden, or impair our infrastructure or interfere with any other party's use of the Services.

4.3. We reserve the right to suspend or terminate Services that violate the Acceptable Use Policy, with or without prior notice depending on the severity of the violation.

5. Service Level Commitments

5.1. Uptime Target. We target 99.9% uptime for our hosting and VPS services, measured on a monthly basis. This excludes scheduled maintenance windows, which will be announced at least 48 hours in advance whenever possible.

5.2. Service Credits. If we fail to meet the 99.9% uptime target in any given calendar month, you may request a service credit equal to 5% of the monthly fee for the affected service for each full hour of downtime exceeding the allowed threshold, up to a maximum of 100% of the monthly fee for that service.

5.3. Exclusions. The uptime commitment does not apply to: (a) scheduled maintenance; (b) force majeure events; (c) issues caused by your actions, your content, or third-party services; (d) DNS propagation delays; (e) domain registry outages beyond our control.

5.4. Support. Technical support is available via email at [email protected]. We aim to respond to all support requests within 24 hours during business days.

6. Intellectual Property

6.1. Your Content. You retain all ownership rights to content you upload, store, or transmit through our Services. By using our Services, you grant us a limited license to host, store, and transmit your content solely for the purpose of providing the Services.

6.2. Our Property. The NetPoint name, logo, website design, and all related intellectual property are owned by SIA ROOTAPI. Nothing in these Terms grants you any right to use our trademarks, trade names, or branding.

7. Data and Backups

7.1. Your Responsibility. You are solely responsible for maintaining backups of your data. While we may provide backup services as part of certain plans, we do not guarantee the availability, completeness, or integrity of any backups.

7.2. Data Handling. The collection, processing, and storage of personal data is governed by our Privacy Policy.

8. Limitation of Liability

8.1. To the maximum extent permitted by applicable law, NetPoint shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, goodwill, or business opportunities, arising out of or in connection with your use of or inability to use the Services.

8.2. Our total aggregate liability for any claim arising under or in connection with these Terms shall not exceed the total fees paid by you to NetPoint during the twelve (12) months immediately preceding the event giving rise to the claim.

8.3. Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any other liability that cannot be excluded or limited under applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless NetPoint (SIA ROOTAPI), its officers, directors, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your content; (c) your violation of these Terms; (d) your violation of any applicable law or the rights of any third party.

10. Termination

10.1. By You. You may terminate your account and cancel your Services at any time through the management panel or by contacting [email protected]. Cancellation will take effect at the end of the current billing period. No refunds will be issued for unused portions of the billing period, except as required by applicable consumer protection law.

10.2. By Us. We may suspend or terminate your account and Services immediately if: (a) you materially breach these Terms; (b) you violate the Acceptable Use Policy; (c) your account is used for illegal activity; (d) you fail to pay outstanding invoices after receiving notice. We may also terminate Services for any reason with thirty (30) days' written notice.

10.3. Effect of Termination. Upon termination, your right to use the Services ceases immediately. We will retain your data for a reasonable period (typically 30 days) to allow you to retrieve it, after which it may be permanently deleted. Domain names will be handled in accordance with the Domain Registration Agreement.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, riots, government actions, power failures, internet outages, or pandemics.

12. Governing Law and Jurisdiction

12.1. These Terms shall be governed by and construed in accordance with the laws of the Republic of Latvia and applicable European Union regulations.

12.2. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Riga, Latvia.

12.3. If you are a consumer within the European Union, you retain the benefit of any mandatory provisions of the law of your country of residence. You may also be entitled to use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

13. Changes to These Terms

13.1. We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or through notice on our website at least thirty (30) days before they take effect.

13.2. Your continued use of the Services after the effective date of any modification constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must discontinue your use of the Services before the changes take effect.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15. Entire Agreement

These Terms, together with the Domain Registration Agreement, Privacy Policy, and Acceptable Use Policy, constitute the entire agreement between you and NetPoint regarding the use of the Services and supersede all prior agreements and understandings.
